THE TURKISH CYPRIOT HUMAN RIGHTS FOUNDATION Section 1. The amount of 2,000 USD was allocated and blocked by paying into the account numbered 11-301-0000000507 in Kıbrıs Türk Vakıflar Bankası as the first established asset of the Foundation donated by the people whose names and addresses are in Section 4 of this deed, and a foundation is established under the name of “The Turkish Cypriot Human Rights Foundation”. Section 2. The Aims of the Foundation 1-To protect and defend basic human rights, the freedom of thought and expression, the rights and interests of the individuals arising from their social, cultural, ethnical, religious, sexual, or political groups 2-To take all necessary steps to oppose injustice, discrimination, illegality, inhumanity and all ill treatment which is incompatible with human dignity 3-To inform the people concerning the constitutional rights and the rights arising from the Law of the European Union; to carry out activities raising awareness of human rights 4-To take actions and initiatives in the direction of protecting and defending the rights of the individuals who live in the Turkish Republic of Northern Cyprus and the Turkish Cypriots wherever they live 5-To work for extending and securing the limits of the concept of human rights in the direction of contemporary norms and European values 6-To support and carry out in person every legal initiative including press, public relations, promotion campaigns, lobby studies, conference, seminar, scientific meetings and cases 7-To carry out all forms of internal and foreign contacts, visits, correspondences and meetings; to prepare reports and make investigations related with the legal, social, cultural, intellectual, artistic, environmental, medical, physical disability, gender, child and family dimensions of human rights; and organize all kinds of relevant cultural and social activities 8-To pursue all forms of human right violations in both sides of Cyprus which affect the Turkish Cypriots and to take steps for protecting and developing human rights. Section 3. In order to achieve its aims, and in accordance with the principles of the rule of law and transparency, the Foundation shall have the power and authority to acquire and use movable and immovable properties in unlimited amounts or all kinds of property comprised of both through dispositions, donations, bequests on death or through purchase or rent; to collect and expend the revenues and profits; to make investment with the Foundations property repeatedly; and provided that it is not in violation of the aims of the Foundation, to control, save and expend the movable and immovable and money that the Trust acquires by dispositions arising from financial donation and testament on death; to cooperate with other foundations which perform activities similar to the aims of the Foundation to get assistance from the foreign Foundations and in order to acquire this assistance to sign agreements with them; to make the investments when necessary for increasing the revenues that it will expend for its aims; To accept donations of all kinds of property rights such as easements, residence rights and to exercise these rights; to accept all forms of guarantee including the mortgage of the movable and immovable properties and to accept guarantees and securities of esteemed banks relating to contracts that it will enter relating to its present and future incomes Where necessary, to borrow in order to achieve the aims of the Foundation; To establish and operate manufacturing and service facilities in accordance with the aims of the Foundation and to contribute to the operation of such facilities and other similar enterprises of the state and private institutions; In short, the Foundation is authorized and entitled to implement extensive initiatives, dispositions, acquisitions, agreements and transactions which are considered to be necessary and useful for gaining one or all of the aims of Foundation. Section 4. Assets of the Foundation The assets of the Foundation include the following: A-The gratuitous donations made by the founders, listed in Annex I during the foundation process, to the Foundation founded by this deed and deposited in Kıbrıs Türk Vakıflar Bankası. The people, whose names, surnames, professions and addresses are listed below, have collected and paid the indicated amount for the establishment of the Foundation; B-The donations and bequests on death to be granted by individuals and organisations; C-The revenues of the publications of the Foundation; D-The revenues acquired from rent and use of every facility and movable and immovable properties which are bought, procured, built by the Foundation; E-Provided that it is not in violation of the aims of the Foundation, all revenues that the Board of Trustees will approve; F-The revenues which will be acquired by investments, commercial businesses and activities to be made by the Foundation in line with its aims; G-The revenues which will be acquired from the banking investment of the Foundation and the share certificates that the Foundation possesses or will possess; H-The revenues which will be acquired from the finances to be received by the Foundation on the basis of projects; I-The donation granted in order to be expended for a general or specific aim in accordance with the aims of the Trust. Section 5. Main Office of the Foundation The administrative centre of the Turkish Cypriot Human Rights Foundation is in Lefkoşa. The Foundation can set up a branch where necessary (domestic or overseas). The Board of Trustees of the Foundation shall determine the setting up of a branch. But this shall be subjected to the approval of the Vakf Organizations and Office of Religious Affairs Section 6. How the Revenues of the Foundation will be Used After the necessary maintenance and repair revenues are deducted from the revenues of the Foundation for the continuation of the administration and the assets of the Foundation, 25% of the net amount shall be collected to make investments in the areas of the aims and in order to strengthen the Foundation. The remaining 75% shall be used in the direction of the aims of the Foundation and the decision of the Board of Trustees. It shall not obliged to be used the whole of the revenues allocated to these purposes within the same year. Section 7. The Organs of the Foundation-The Board of the Founders -The Board of Trustees -General Directorate A. BOARD OF FOUNDERS OF THE FOUNDATION The Board of Founders shall consist of the people whose names and surnames are listed in Annex I. The Board of Founders shall elect the first Board of Trustees that will serve for 2 years by assembling under the chairmanship of the oldest member at the latest within 7 days beginning from the establishment of the Foundation. If deems it necessary, the Board of Trustees can convene the Board of Founders for a meetings. The purpose of the meetings shall be, the Founder members’ to be informed by the Boards of Trustees concerning the activities and programmes of the Foundation. The Board of Founders can take advisory decisions related with the activities of the trust. B. BOARD OF TRUSTEES The Board of Trustees is responsible and liable for the administration of the Foundation, it is a decision making, electing and supervising body and consists of 9 persons, and its term of office is 2 years. In case one of the trustees is disabled from serving or withdraws from the membership or at the end of his/her term of office, in place of all members of the board, each member of the board individually shall nominate 3 candidates. While the members of the Board of Trustees enforce their right to nominate a candidate, they can also nominate themselves as a candidate. The elections shall be held by secret ballot and open census and the candidates with the highest votes shall be elected for a period of 2 years. The membership of a member who does not attend 3 successive meetings without excuse or total 6 meetings with excuse shall fall with the decision of the Board of Trustees and a new member shall be elected in place of him/her. The Board of Trustees shall elect a chairman who will serve for a period of 2 years among its members in the first meeting. The term of office of the Board of Trustees shall be 2 years and they can be a candidate again at the end of their term of office. The Board of Trustees shall convene ordinarily once a month and upon the written demand of four of its members or of the Chairman at any time, extraordinarily. The place, date and time of both ordinary and extraordinary meetings shall be announced at least two days before. The quorum shall be constituted with the simple majority of the members of the Board of Trustees. The decisions shall be taken with the absolute majority of the members who are present at the meeting. Members of the Board of Trustees shall not be paid, but from time to time, they can have an allowance based on their presence at a meeting, to be determined by the board of Trustees. The Board of Trustees is assigned and liable for administering and representing the trust pursuant to the decisions they have taken and the provisions of the legislation. The Board of Trustees shall create and approve positions it deems necessary in the direction of its decisions, for the purpose of fulfilling the accounts, registry and correspondence procedures related with the revenues and expenditures and assets of the Foundation as well was the activities of the Foundation and shall appoint personnel in the direction of the Decisions of the Board of Trustees. Salary and other rights of the people appointed to these positions shall be provided from the revenues of the Foundation. People who are appointed to the positions shall be responsible to the Board of Trustees and responsible for informing in writing and verbally, the Board of Trustees about the accounts and assets of the Foundation and the other duties they perform with regard to the Foundation. The Board of Trustees is authorized in the procedures of dismissal, appointment and withdrawal from the position. C. DIRECTORATE GENERAL The Directorate General shall be formed according to the status to be drawn up by the Board of Trustees. The Director General is responsible to the Board of Trustees. The director shall attend the meeting but cannot vote in the Board of Trustees. The Director General shall administer the Foundation pursuant to the decisions of the Board of Trustees and to the general legislation. S/he shall exercise the authorities assigned by the Board. The authorities and responsibilities of the Director General and of the body of Directorate General shall be regulated with a directive to be made by the Board of Trustees. Section 8. Election of the Auditor The Board of Trustees shall elect a person or an establishment performing the duty of free and authorized Chartered Accountant as an auditor. The auditors who are elected by this way shall submit, every six months, a report of revenues and recommendations of the Foundation to the Board of Trustees. Section 9. Allocation of Annual Budget and Revenues The Board of Trustees shall draw up a budget for every calendar year. In this budget, it shall fix the basis and proportions of the assets and the sources of the Foundation in accordance with its principles. Section 10. Increasing of Assets and Sources of the Foundation The Board of Trustees can invest the revenues drawn from the activities of the Trust, in the fields, it may approve, for the purpose of increasing the assets and sources of the Trust.
Section 11. Foundation Regulations The Foundation shall be administered and represented with regulations drawn up by the Board of Trustees in accordance with the principles of this foundation and legislation and to be adopted by the two thirds majority of the whole members. In the debate of the regulations two thirds majority of the whole members shall be demanded for the adoption of each section. Section 12. The Foundation Becoming Unable to Achieve Its Aim For registering into the record the decision, to be taken with two thirds majority of the whole members of the Board of Trustees, with regard to the Foundation becoming unable to achieve its aim with any reason and case, the approval of this decision by the supervising authority is a must. In case of its approval, the existing assets of the Foundation on that date shall be transferred to the Organization of Vakfs and the Office of Religious Affairs. Section 13. Amending The Deed of the Foundation The Board of Trustees can make amendment on the provisions of the present act with the two thirds majority of the whole members, in cases it considers as obligatory and approvable. It is provided that, this amendment shall be made in virtue of the Chapter 337, 1955 the Law on Evkaf and Trusts and the enforced laws regarding the issue. Section 14. Supervision The present Foundation, according to the laws, is subject to the supervision of the Organization of Trusts and Office of Religious Affairs.Witnesses: 1................................................................. 2.................................................................
